By purchasing a Midnight Range membership, creating an account or using our software, you agree to be bound by these Terms and Conditions.
Please read these terms together with our Refund Policy, Privacy Policy and Risk Disclosure before completing your purchase.
You must be at least 18 years old and legally capable of entering into a binding contract to purchase a membership or use Midnight Range software.
You are responsible for ensuring that algorithmic trading, MetaTrader 5 and the use of Expert Advisors are permitted in your country, by your broker and under any rules that apply to you.
A Midnight Range membership provides access to the software, updates, installation resources and member support described on our website at the time of purchase.
Membership benefits may be improved, replaced or updated as the software develops. We will not materially reduce a paid membership without giving reasonable notice where required.
Membership is billed on a recurring monthly basis at the price displayed during checkout. By subscribing, you authorise our payment provider to charge the selected payment method on each renewal date until the subscription is cancelled.
Any taxes, currency conversion charges or bank fees that apply to your payment may be added by the relevant payment provider or financial institution.
We may change membership pricing in the future. Any change that affects an existing member will be communicated before it takes effect and will be handled in accordance with applicable law.
Where a founding price is offered, that rate remains available only while the relevant membership remains continuously active and payments remain up to date.
If a founding membership is cancelled, terminated or allowed to lapse, the previous founding rate may no longer be available if the customer subscribes again later.
You may cancel the automatic renewal of your membership at any time through the available billing controls or by contacting support.
Cancellation normally takes effect at the end of the current paid billing period. You will retain access until that period ends, unless access is suspended earlier because of misuse, fraud, chargeback activity or another serious breach of these terms.
Subject to an active membership and compliance with these terms, Midnight Range grants you a limited, personal, revocable, non-exclusive and non-transferable licence to install and use the software for your own trading activity.
The software is licensed, not sold. Purchasing a membership does not transfer ownership of the software, source code, strategy logic, branding or other intellectual property.
Your membership may include limits on the number of trading accounts, terminals, devices or activations permitted. Those limits will be shown within the member dashboard or accompanying product information.
You must keep your account credentials and licence information secure. You are responsible for activity carried out through your account unless you notify us promptly of unauthorised access.

Midnight Range Expert Advisors are designed for MetaTrader 5. Members are responsible for maintaining compatible hardware, software, internet access, broker access and any virtual private server used to operate the software.
Broker execution, spreads, slippage, pricing, market conditions, account type and platform configuration can affect results and are outside our control.
We may release maintenance updates, improvements, compatibility changes and new versions of the software. Members may be required to install an update to maintain compatibility or continued access.
We do not guarantee uninterrupted availability of the website, dashboard, licence server, downloads or support services. Planned maintenance and circumstances outside our reasonable control may temporarily affect access.
Midnight Range provides software tools only. Nothing on the website, within the dashboard or in member communications constitutes personal financial, investment, tax or legal advice.
Forex and CFD trading involve a significant risk of loss. Historical performance, simulated results and backtests do not guarantee future results. You remain solely responsible for your trading decisions, account settings and risk exposure.

All software, branding, designs, documentation, written content, graphics, product names, strategy logic and member resources remain the property of Midnight Range or its licensors.
No rights are granted except for the limited right to use the software in accordance with these terms.
We may suspend or terminate access where we reasonably believe that a member has breached these terms, shared the software, attempted to bypass licence controls, engaged in fraud or created a security risk.
Where appropriate, we will provide notice and an opportunity to resolve the issue. Immediate action may be taken where necessary to protect the service, other members or our intellectual property.
Refunds and cancellation-related payments are handled in accordance with our Refund Policy and any applicable statutory consumer rights.
Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for fraud, fraudulent misrepresentation or any consumer rights that cannot legally be excluded.
To the fullest extent permitted by law, Midnight Range is not responsible for trading losses, lost profits, missed trading opportunities, broker failures, internet outages, platform failures, third-party services or losses caused by settings chosen by the user.
We may update these Terms and Conditions to reflect changes to the software, membership, law or business operations.
Where a change materially affects an active membership, we will provide reasonable notice where required. Continued use after the effective date of an updated version constitutes acceptance of the revised terms.
These terms are governed by the laws of England and Wales, unless mandatory consumer law in your country requires otherwise.
Consumers may retain the right to bring proceedings in the courts available to them under applicable consumer law.
